1. Acceptance of Terms
By accessing or using the Legacy Business Acquisition Center platform ("LBAC," "we," "us," or "our") at legacybac.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the platform.
These Terms constitute a legally binding agreement between you and LBAC. Your continued use of the platform after any modifications to these Terms constitutes acceptance of those changes.
2. Description of Service
LBAC is a two-sided marketplace that connects business buyers, sellers, and brokers for the purpose of facilitating business acquisitions. Our platform provides tools for:
- Listing businesses for sale
- Searching and discovering acquisition opportunities
- Initiating and managing deal inquiries
- Executing non-disclosure agreements (NDAs) electronically
- Conducting due diligence through secure deal rooms
- Connecting with consultants, advisors, and brokers
- Community forums and educational resources
LBAC is a marketplace platform only. We do not represent buyers or sellers, act as a broker-dealer, provide investment advice, or guarantee the completion of any transaction.
3. Eligibility
To use LBAC you must:
- Be at least 18 years of age
- Use the platform for lawful business or investment purposes only
- Be located in the United States, or be a U.S. entity or citizen
- Have the legal authority to enter into binding contracts
- Not be barred from receiving services under applicable law
By creating an account, you represent and warrant that you meet all eligibility requirements. LBAC reserves the right to verify eligibility and to suspend or terminate accounts that do not meet these requirements.
4. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate, current, and complete information during registration
- Promptly update your account information to keep it accurate
- Notify LBAC immediately of any unauthorized use of your account
- Not share your account credentials with any third party
- Not create multiple accounts to circumvent platform restrictions
- Use the platform only for lawful purposes consistent with these Terms
LBAC will not be liable for any loss or damage arising from your failure to comply with these obligations.
5. Listings and Content
Sellers and brokers who post business listings on LBAC are solely responsible for the accuracy, completeness, and legality of all listing information, including but not limited to:
- Financial figures, revenue, and earnings claims
- Business descriptions, industry classifications, and operating history
- Asking prices and valuation rationale
- Included assets, liabilities, and encumbrances
LBAC does not verify, audit, or guarantee the accuracy of any listing data. Buyers must independently verify all material information before making any acquisition decision. LBAC expressly disclaims all liability for reliance on listing content.
By submitting a listing, you grant LBAC a non-exclusive, royalty-free license to display, distribute, and promote that listing on the platform and in marketing materials.
6. Buyer and Seller Conduct
All users agree to conduct themselves in good faith and in accordance with these Terms. Prohibited conduct includes:
- Off-platform circumvention: Attempting to complete a transaction introduced through LBAC while intentionally bypassing platform deal flow, fees, or agreements is prohibited.
- Fraudulent listings: Posting listings for businesses you do not own or have authority to sell, or misrepresenting material facts, is strictly prohibited.
- Misrepresentation: Providing false or misleading information to other users during any stage of a transaction.
- Harassment: Using the platform to harass, threaten, or intimidate other users.
- Unauthorized scraping: Using automated means to extract data from the platform without written consent.
- Money laundering or illegal activity: Using LBAC for any purpose that violates applicable law.
Violation of these conduct rules may result in immediate account suspension and may expose you to legal liability.
7. NDA and Confidential Information
Certain information on LBAC — including detailed financials, customer data, and operational documentation shared in deal rooms — is designated as confidential. When you execute a non-disclosure agreement (NDA) on the platform, you agree to:
- Hold all designated confidential information in strict confidence
- Use confidential information solely to evaluate the specific acquisition opportunity
- Not share confidential information with any third party without the disclosing party's written consent
- Return or destroy confidential materials upon request or upon deal termination
NDAs executed on the platform are legally binding contracts. LBAC is not a party to individual NDAs but may assist in enforcement by retaining records of executed agreements. Breach of an NDA may result in account termination and civil liability.
8. Fees and Subscriptions
Access to certain LBAC features requires a paid subscription. Current pricing, plan features, and billing terms are described on our Pricing page.
By subscribing to a paid plan, you authorize LBAC to charge your payment method on a recurring basis. All fees are in U.S. dollars and are non-refundable except as required by applicable law or as explicitly stated in our refund policy. LBAC reserves the right to change pricing with 30 days' notice to subscribers.
9. Intellectual Property
The LBAC platform, including its software, design, logos, trademarks, and all platform-generated content, is owned by LBAC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on LBAC's proprietary materials without our express written permission.
You retain ownership of content you submit to the platform (such as listing descriptions and documents). By submitting content, you grant LBAC the rights necessary to operate and improve the platform as described in these Terms.
10. Disclaimers
LBAC IS NOT AN INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL INSTITUTION.
Nothing on this platform constitutes investment advice, a recommendation to buy or sell any business, or a solicitation of any investment. All information is provided for general informational purposes only.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LBAC SPECIFICALLY DISCLAIMS:
- Any warranty of merchantability, fitness for a particular purpose, or non-infringement
- Any guarantee regarding the accuracy, completeness, or reliability of listing data or business valuations
- Any guarantee that the platform will be uninterrupted, error-free, or secure
- Any guarantee that a transaction introduced on the platform will close successfully
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LBAC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL LBAC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID LBAC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless LBAC and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the platform or breach of these Terms
- Content you submit, post, or transmit through the platform
- Your violation of any third party's rights
- Any transaction you enter into through or facilitated by the platform
13. Termination
LBAC may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to a violation of these Terms. You may terminate your account at any time by contacting us at legal@legacybac.com.
Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any dispute arising from these Terms or your use of the platform.
Any dispute not resolved informally within 30 days of written notice shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in court to prevent irreparable harm.
15. Changes to Terms
LBAC reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification to registered users.
Your continued use of the platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the platform.
